TERMS & CONDITIONS

1. application

1.1  The following Terms & Conditions (hereafter: “terms”) apply to all offers, contracts and other agreements made between Nicola Sanders of Studio Sanders (hereafter: “Nicola Sanders”) and the client.
1.2  The terms & conditions of the client are not applicable.

2. proposal

2.1  Following the initial design discovery meeting, a written proposal for the project will be created for consideration by the client.
2.2  The proposal will include a description of the project, the results and the design process.
2.3  A proposal from Nicola Sanders is valid for 2 weeks after the date it was created.

3. contract

3.1  The contract refers to the description of the assignment in the design proposal.
3.2  If the content, scope or desired result of the assignment changes during the design process, an additional agreement needs to be made or the assignment will be terminated (see 7. Early termination) and a new contract will be proposed.

4. project execution

4.1  In case the client would like to make significant changes to the design in a way that doesn’t align with the original creative brief, the costs of these changes will be charged.
4.2  The client agrees to provide feedback on all creative work within a reasonable time frame (usually five working days).
4.3  If a client deliverable – such as input, approvals or payment – is late by more than 10 working days, the project will be considered to be on hold. Once the deliverable is received, the project will be rescheduled based on Nicola Sanders’ current workload and availability.
4.4  In case something is wrong or missing compared to what was agreed in the contract, the client has two weeks after the design is finished to let Nicola Sanders know in writing.
4.5  If the client reports this later, the costs of any additional changes will be charged to the client.

5. intellectual property

5.1  Nicola Sanders is the holder of all intellectual property rights for the works created, including copyright.

6. photography

6.1  The client will allow Nicola Sanders to photograph the project through all its stages of works and after the project is completed for the purposes of maintaining her portfolio of work.
6.2 Photographs may be used for business or publicity reasons, such as social media posts, or for marketing and advertising purposes.
6.3 Where photographs are made public, the client’s identity will not be compromised, and names and addresses will not be disclosed either directly or indirectly (e.g. by photographing the exterior of a property).

7. payment & invoicing

7.1  Invoices sent by Nicola Sanders will need to be paid within 10 working days.
7.2  If the payment is not received within 10 working days, additional administration costs may be charged.  
7.3  Design services are provided on a fixed-fee basis, determined by the scope of works agreed at the outset of the project.
7.4 To confirm acceptance of the design proposal, the client pays a non-refundable fee as described in the design proposal.
7.5  The remainder of the design fee will be invoiced in pre-agreed monthly instalments.
7.6  The final designs will be delivered once the final payment has been received.
7.7 Any work that extends beyond the original brief will be charged at an hourly rate of £105.

8. purchasing & procurement

8.1  Payment for materials, furniture or other items relating to the agreed design schemes will be invoiced prior to orders being placed. No orders will be placed before payment for such items is received.
8.2 If a client wishes to cancel an already agreed-upon order, he or she will be responsible for any cancellation fees from the supplier.
7.3 Bespoke or specially produced items cannot be returned or refunded.

9. early termination

9.1  In case the assignment is terminated by the client before completion, the client will pay a fee of 75% of the total costs, to compensate for the design work already completed.

10. insurance

10.1  Professional Indemnity insurance and Public & Product Liability insurance are held by Nicola Sanders; certificates for these can be provided on request.

11. liability

11.1  Nicola Sanders is not liable for errors and mistakes in the materials or information supplied by the client or third parties.
11.2  Nicola Sanders is also not liable for any damages that result from the use of the design.
11.3  Any liability of Nicola Sanders is limited to the total fee that is invoiced for the project concerned.

12. disputes

12.1  English Law is applicable to all agreements made between Nicola Sanders and the client.
12.2  In case of any disputes between Nicola Sanders and the client, the court in England has exclusive competence.
